摘要：投资银行和商业银行一样都属于金融机构，而投行的经营业务内容又属于投资性业务。具体来说，投资银行是在资本市场上为企业发行债券、股票，筹集长期资金提供中介服务的金融机构，主要从事证券承销、公司资本金筹措、兼并与收购、咨询服务、基金管理、创业资本及证券私募发行等业务。我国券商的投资银行业务虽然起步较晚，但自国家相关的支持政策出台和社会主义市场经济的发展以来，投资银行业务总量加大，类型增多，发展迅猛，促进了市场经济中的资源得合理配置，同时参与资本经营，推动经理革命。而随之而来的就是相关把控政策的出台，从原有的审批制到现在的核准制，投行的准入标准提高，保荐制度和主承销制度规范了风险归责，同时券商数量不断增加，投资银行业务竞争激烈，各大券商面临的挑战愈加严峻，原有的战略布局已经渐露难色。在各种压力迫使之下，我国投资银行业纷纷开始进行具有针对性的战略调整。本文讨论的内容是作为战略性调整的关键一环的投行部门的组织模式调整与变革。35279
论文首先根据目前我国投资银行的经营范围给出了投行的狭义定义，阐述了我国目前采用的证券发行制度和几大券商竞争的局面。其次对现有的投行部门的组织模式进行描述，由举例的两大券商的经典模式开始，对现有国内外存在的几种组织模式和组织模式分析优势劣势，详细呈现了不同模式所具有的不同的特色;其次,在目前投行面对的竞争环境和原有组织结构的基础上，得出新环境下投资银行部门组织结构的应对策略;最后,在上述分析的基础之上,对目前我国证券公司投资银行部门的组织结构进行了新的设计，并对未来投行的发展方向进行了预估与阐述。
本文主要内容是阐述现有的各种组织模式，比较分析，利用其不同优势进行新的排列组合，在此基础上，初步设计出有效的全新的组织结构，对目前券商的战略性调整给出了政策性建议。
